Agreement to Terms
These Terms and Conditions constitute a legally binding agreement between you and Nocturnis (registered business name, operating from Singapore) regarding your use of our property rental services. By engaging our services or using our website, you acknowledge that you have read, understood, and agree to be bound by these terms. If you do not agree with any provision, you should not use our services.
1. Definitions
In these Terms and Conditions:
- "Service" refers to any property rental coordination service, negotiation representation, or arrival support programme offered by Nocturnis
- "Client" or "You" refers to the individual or entity engaging our services
- "We", "Us", or "Our" refers to Nocturnis
- "Agreement" means these Terms and Conditions together with any service engagement documentation
- "Property" refers to any residential rental property that is the subject of our services
2. Acceptance of Terms
2.1 Formation of Agreement
An agreement is formed when you engage any of our services either verbally, in writing, or through electronic confirmation. By proceeding with service engagement, you confirm your acceptance of these Terms and Conditions.
2.2 Age and Capacity
You must be at least 18 years of age and possess the legal capacity to enter into binding contracts under Singapore law. By engaging our services, you represent and warrant that you meet these requirements.
3. Service Description
3.1 Services Provided
Nocturnis offers the following services:
- Evening and Weekend Viewing Service: Coordination of property viewings outside standard business hours
- Negotiation Representation: Professional representation in rental lease negotiations
- Signature Arrival Experience: Comprehensive arrival and settling-in support programme
3.2 Service Availability
Services are provided within Singapore. Availability is subject to our capacity and operational constraints. We reserve the right to decline service requests where we cannot meet the client's requirements or timeline.
3.3 Service Modifications
We may modify service offerings, pricing, or procedures with notice to clients. Changes do not affect existing service agreements unless mutually agreed in writing.
4. Client Responsibilities
4.1 Information Accuracy
Clients must provide accurate, complete, and current information regarding property requirements, budget parameters, timeline, and any other details relevant to service delivery. Failure to provide accurate information may result in delays or inability to deliver services as intended.
4.2 Communication
Clients must respond to our communications in a timely manner, particularly where decisions or approvals are required to proceed with service delivery. Delayed responses may affect our ability to meet agreed timelines.
4.3 Conduct
Clients agree to conduct themselves professionally in all interactions with our staff, property owners, building management, and third parties involved in service delivery.
5. Payment Terms
5.1 Service Fees
Service fees are as published on our website or as agreed in service engagement documentation. All fees are quoted in Singapore Dollars (SGD) and exclude Goods and Services Tax (GST) unless stated otherwise. Current service fees are:
- Evening and Weekend Viewing Service: SGD 220
- Negotiation Representation: SGD 750
- Signature Arrival Experience: SGD 1,900
5.2 Payment Schedule
Payment is required according to the following schedule:
- Evening and Weekend Viewing Service: Full payment upon booking confirmation
- Negotiation Representation: 50% upon engagement, 50% upon successful lease execution
- Signature Arrival Experience: 40% upon booking, 60% one week before arrival date
5.3 Payment Methods
We accept payment by bank transfer, credit card, or other methods as agreed. Payment must be received by the due date to avoid service delays.
5.4 Late Payment
Late payment may result in suspension of services until payment is received. We reserve the right to charge interest on overdue amounts at a rate of 1.5% per month or the maximum rate permitted by Singapore law, whichever is lower.
5.5 Refund Policy
Refunds are considered on a case-by-case basis. Where services have been partially delivered, fees are generally non-refundable. If we are unable to deliver agreed services due to circumstances within our control, a pro-rata refund will be provided.
6. Intellectual Property
All content on our website and in our service materials, including text, graphics, logos, and software, is the property of Nocturnis or our licensors and is protected by Singapore and international intellectual property laws. You may not reproduce, distribute, or create derivative works without our express written permission.
7. Disclaimers
7.1 Service Provision
Services are provided on an "as is" and "as available" basis. While we exercise reasonable care and skill in service delivery, we do not guarantee specific outcomes such as successful property acquisition or particular lease terms.
7.2 No Guarantees
We do not guarantee that properties will meet your requirements, that viewings will result in successful lease agreements, or that negotiation efforts will achieve specific outcomes. Property availability and lease terms are ultimately determined by property owners.
7.3 Professional Advice Disclaimer
Our services do not constitute legal, financial, or immigration advice. Clients should seek appropriate professional counsel for such matters. Information provided is based on our market knowledge and experience but should not be relied upon as professional advice in these areas.
8. Limitation of Liability
8.1 Liability Cap
Our total liability to you for any claims arising from or related to our services shall not exceed the total fees paid by you for the specific service giving rise to the claim.
8.2 Excluded Damages
We shall not be liable for indirect, consequential, incidental, special, or punitive damages, including lost profits, loss of business, or loss of opportunity, even if we have been advised of the possibility of such damages.
8.3 Force Majeure
We are not liable for delays or failures in performance resulting from circumstances beyond our reasonable control, including acts of God, government actions, natural disasters, or public health emergencies.
9. Indemnification
You agree to indemnify and hold harmless Nocturnis, its officers, employees, and agents from any claims, damages, losses, or expenses (including reasonable legal fees) arising from your breach of these Terms and Conditions, your use of our services, or your violation of any applicable laws or third-party rights.
10. Termination
10.1 Termination by Client
Clients may terminate service engagements by providing written notice. Fees for services already delivered are non-refundable. Fees for services not yet delivered may be refunded at our discretion, less any costs already incurred.
10.2 Termination by Nocturnis
We may terminate service engagements if the client breaches these Terms and Conditions, provides false or misleading information, or engages in conduct that we deem inappropriate or detrimental to our business reputation. In such cases, fees paid are generally non-refundable.
10.3 Effect of Termination
Upon termination, we will cease providing services. Provisions relating to payment, confidentiality, intellectual property, limitation of liability, and dispute resolution survive termination.
11. Dispute Resolution
11.1 Governing Law
These Terms and Conditions are governed by and construed in accordance with the laws of the Republic of Singapore. The parties submit to the exclusive jurisdiction of the Singapore courts.
11.2 Informal Resolution
In the event of any dispute, the parties agree to first attempt resolution through good-faith negotiation. Disputes should be raised in writing to [email protected] within 30 days of the issue arising.
11.3 Formal Proceedings
If informal resolution is unsuccessful within 30 days, either party may pursue formal legal proceedings in the Singapore courts. Each party bears its own legal costs unless a court orders otherwise.
12. General Provisions
12.1 Entire Agreement
These Terms and Conditions, together with any service engagement documentation, constitute the entire agreement between the parties and supersede all prior understandings or agreements, whether written or oral.
12.2 Severability
If any provision of these Terms and Conditions is found to be invalid or unenforceable, the remaining provisions shall continue in full force and effect.
12.3 Waiver
Our failure to enforce any provision of these Terms and Conditions shall not constitute a waiver of that provision or any other provision.
12.4 Assignment
You may not assign your rights or obligations under these Terms and Conditions without our prior written consent. We may assign our rights and obligations to a successor entity or affiliate.
12.5 Notices
Notices under these Terms and Conditions shall be in writing and sent to the contact details provided during service engagement. Email notices are deemed received 24 hours after sending.
13. Changes to Terms
We reserve the right to modify these Terms and Conditions at any time. Changes will be posted on our website with an updated "Last Updated" date. Material changes will be communicated to active clients via email. Continued use of our services after changes are posted constitutes acceptance of the modified terms.
